CustomCore ERP Software License Agreement - Last updated: January 2025

1. Agreement Overview

This License Agreement ("Agreement") is entered into between GLOMASTCO Ltd ("Licensor") and you or your company ("Licensee") regarding the use of CustomCore ERP software ("Software").

By accessing or using the Software, you agree to be bound by these terms.

2. Grant of License

2.1 Qualified Access

Upon approval of your application, Licensor grants Licensee a non-exclusive, non-transferable license to:

• Access and download the Software source code
• Install and use the Software on your own infrastructure
• Modify the Software for your internal business purposes
• Deploy the Software for your business operations

2.2 Restrictions

Licensee may NOT:

• Redistribute, sell, or sublicense the Software or modified versions
• Provide the Software as a service to third parties (SaaS)
• Remove or modify proprietary notices or labels
• Use the Software for illegal purposes
• Reverse engineer compiled components (where applicable)
• Share access credentials with unauthorized parties

3. Qualification Requirements

Access to the Software is subject to qualification. Licensor reserves the right to:

• Review and approve/deny access applications
• Verify company information and intended use
• Revoke access if terms are violated
• Limit access to qualified business entities only

4. Intellectual Property

The Software, including all source code, documentation, and materials, remains the exclusive property of GLOMASTCO Ltd. This Agreement does not transfer any ownership rights to Licensee.

Licensee owns modifications made to the Software for internal use, but the original Software remains property of Licensor.

5. Updates and Support

5.1 Updates

Licensor provides access to Software updates and improvements. Updates are provided "as-is" without guarantee of specific features or timelines.

5.2 Support Services

Basic support is provided via email. Professional implementation, migration, and custom development services are available separately at our standard rates (starting at $40/hour or fixed-price projects).

6. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. Licensor disclaims all warranties, express or implied, including but not limited to:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Security or error-free operation

Licensee assumes all risks associated with the use of the Software.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Costs of procurement of substitute goods or services
• Any damages arising from use or inability to use the Software

In no event shall Licensor's total liability exceed €100.

8. Data and Privacy

Licensee is solely responsible for:

• Data processed through the Software
• Compliance with applicable data protection laws (GDPR, etc.)
• Security of their deployment environment
• Backup and disaster recovery procedures

Licensor does not access or control data in Licensee's deployment.

9. Termination

9.1 Termination by Licensee

Licensee may terminate this Agreement at any time by ceasing use of the Software and destroying all copies.

9.2 Termination by Licensor

Licensor may terminate access if:

• Licensee violates any terms of this Agreement
• Licensee provides false information during qualification
• Licensee uses the Software for unauthorized purposes

9.3 Effect of Termination

Upon termination, Licensee must cease use of the Software. Provisions regarding intellectual property, warranty disclaimer, and limitation of liability survive termination.

10. Professional Services

Implementation, migration, training, and custom development services are provided under separate service agreements. These services are not included in the free source code access.

11. Export Compliance

Licensee agrees to comply with all applicable export and import laws and regulations. The Software may not be exported or re-exported to prohibited countries or entities.

12. Governing Law

This Agreement is governed by the laws of Cyprus. Any disputes shall be resolved in the courts of Cyprus.

13. Entire Agreement

This Agreement constitutes the entire agreement between parties regarding the Software and supersedes all prior agreements or understandings.

14. Amendments

Licensor reserves the right to modify these terms. Continued use of the Software after changes constitutes acceptance of modified terms.

15. Severability

If any provision of this Agreement is found unenforceable, the remaining provisions remain in full effect.
